Schedule: Subscription Fees and Services
Please note: pricing below does not include our professional referral/brokering charges.
1. Subscription Fees:
a. Set-Up and Onboarding Fee – Non MSB:
- $15,000 to $25,000 due at contract execution. (This is estimated)
b. Minimum Monthly Fee:
- $5,000 for months 1-4.
- $7,500 for months 5-8.
- $10,000 for months 9+.
2. Payment Schedule:
- The customer is responsible for Minimum Monthly Fees starting either from the Subscription Program’s live date or 60 days from the Agreement execution date, whichever comes first.
- Payments will align with payment terms (see below) of the Agreement thereafter.
- Minimum Monthly Fees will be auto-debited from the customer’s bank account on the first (1st) business day of each month.
- Account Related Transaction Fees will be invoiced after the close of each month’s transactions.
- The prior month’s Account Related Transaction Fees (minus the applicable Minimum Monthly Fees) will be auto-debited from the customer’s bank account on the tenth (10th) day of each month.
- No credit will be provided if the Account Related Transaction Fees are less than the Minimum Monthly Fee for any applicable month.
- Solution Provider reserves the right, in its sole discretion, to auto-debit fees more often (as often as daily) if volumes dictate.
3. Included Services:
- FDIC Insured FBO Account(s)
- Sub-Account Ledger
- Webhook Notifications
- API Payment Origination
- Portal to View Balances/Originate Transactions
- AML Transaction Monitoring
- Platform Hosting
4. Account Related Transaction Fees:
- Active FBO Account User Fee:
- $0.50 per account per month.
- Standard Domestic ACH (Incoming/Outgoing):
- $0.20 per ACH payment.
- Same Day ACH (Incoming/Outgoing):
- $0.35 per ACH payment.
- Domestic Wire (Incoming/Outgoing):
- $30.00 per domestic wire.
- International USD Wire (Incoming/Outgoing):
- $40.00 per international USD wire.
Note:
- All pricing is in USD.
- All payment-related fees or charges (e.g., chargebacks, clawbacks, etc.) from the bank will be passed through to and paid by the customer.
- Services and fees not listed herein require a separate agreement by the parties.
Payment Terms
1. Compensation and Payment Method:
- As compensation for the license granted and the obligations assumed, the customer shall make payments to the Solution Provider as outlined in the schedule as listed above.
- All payments will be conducted electronically.
- The customer is to supply bank account details to the Solution Provider following the Solution Provider’s instructions.
2. Payment Schedule and Fees:
- Minimum Monthly Fees:
- Auto-debited from the customer’s bank account on the first (1st) business day of each month.
- Account Related Transaction Fees:
- Invoiced after the close of each month’s transactions.
- The prior month’s fees, less the applicable Minimum Monthly Fees, will be auto-debited from the customer’s bank account on the tenth (10th) day of each month.
- Late Fees:
- A 1.5% per month fee will apply to any amount not received within fifteen (15) days after the due date.
- Any late fees incurred are to be paid by the customer immediately.
- The customer will not be credited for any portion of the Minimum Monthly Fee if the Account Related Transaction Fees are less than the Minimum Monthly Fee for any applicable month.
- The Solution Provider reserves the right, in its sole discretion, to auto-debit fees more frequently (as often as daily) if volumes dictate.
3. Rights of the Solution Provider:
- The Solution Provider has full discretion to refuse to complete any customer or Authorized User transaction or to suspend the Subscription Program.
Prohibited Products and Services
Prohibited Categories:
- Anonymous named accounts or Numbered or Designated Name Accounts.
- Any other financial services operating without a license/registration where one is required.
- any Ponzi-scheme or pyramid selling.
- Bearer share corporations.
- Binary options.
- Business with countries on the sanctions list.
- Businesses primarily engaged in gambling, including online gambling operations, lotteries, fantasy sports, games of chance.
- Clients allowing the trading an/or exchanging of FX/CFD/options.
- Drug and drug related products or including drug paraphernalia
- Embassies and Foreign Consulates.
- Financial institutions, where S/P does not maintain a direct relationship with the financial institution or bank and a nested relationship is established.
- Foreign Bulk Shipment of Currency.
- Foreign Casinos/Gambling Establishments/Internet Gambling.
- Intellectual property, copyright, patent, trademark, trade secret, proprietary rights infringement.
- OFAC Listed countries, businesses, organizations, entities, or individuals.
- Parallel Banking Relationships.
- Payable through accounts.
- Products and services which are not legal/meet the regulatory requirement in the jurisdiction where they are being offered
- Section 311 designated entities (USA Patriot Act list from FinCEN).
- Services that facilitate anonymous payments/financial services.
- Shell Banks- and entities that provide service to shell banks.
- Syndicates.
- the creation, facilitation, sale or distribution of goods or services that violate the intellectual property rights of a third party.
- the creation, facilitation, sale, or distribution of any prohibited or illegal good or service or an activity that requires a governmental license where the customer lacks such a license.
- Trusts and trust formation activity.
- Unlawful or Illegal Activities, including:
- Unlicensed banks.
- Unlicensed/unregulated remittance agents, exchange houses, bureau de exchange or money transfer agents, and payment service providers.
- Unregulated Charities
- Violence related activities, including the creation, facilitation, sale, or distribution of any material that promotes violence or hatred.
Caution Categories (Requires Approval)
The following is a list of higher risk business industries which will be assessed
by S/P on a case by case basis.
- Accounts related to politics/campaigns.
- Business involved in Tobacco goods, including the facilitation, sale, or distribution of tobacco goods.
- Business providers of dietary supplements, including the facilitation, sale, or distribution of dietary supplements.
- Business providers of Pouch Activities.
- Business that deal with jewels, precious metals, or stones, including the facilitation, sale, distribution, or exchange of jewels, precious metals, or stones.
- Business that deal with weapons, including the facilitation, sale or distribution of firearms or other weapons, military or semi-military goods,military software, or technologies.
- Businesses engaged in creating or generating Remotely Created Checks on behalf of the payor as payment for goods and/or services.
- Businesses involved in Alcoholic beverages, including the facilitation, sale, or distribution of alcoholic beverages.
- Businesses involved in cannabis, cannabidiol (CBD), hemp, or marijuana, referred to as Marijuana-Related Businesses, including the creation, facilitation, sale or distribution of marijuana or marijuana paraphernalia, regardless of whether or not such sale is lawful in the jurisdiction in which customer operates, or your jurisdiction.
- Businesses involved in the adult entertainment industry, including
- business offering adult content including visual content depicting explicitly sexual acts or services sexual in nature (i.e. webcam shows, live chats, prostitution, escorts, etc.)
- Businesses involved in the manufacturing, wholesaling, and / or retailing of firearms.
- Businesses involved in the manufacturing, wholesaling, and / or retailing of parts or ammunition for automatic weapons.
- Businesses involved in the mining of or transmittal of crypto/virtual currency.
- Businesses involved with chemicals, including the facilitation, sale, or distribution of chemicals.
- Businesses located in a Foreign Country or foreign off-shore corporations, including foreign deposit brokers and foreign charitable organizations.
- Businesses operating from Post Office Boxes with no physical location.
- Businesses owned by undocumented individuals.
- Businesses owned or guaranteed by a Domestic Politically Exposed Person.
- Businesses owned or guaranteed by a Foreign Politically Exposed Person.
- Businesses providing online dating or marriage services.
- Businesses with primary engagement in privately owned ATMs (cash and virtual currency).
- Charities, except – UNICEF, The International Red Cross, and any other registered and highly reputable charity only upon explicit approval by S/P.
- Factoring.
- Foreign or Domestic Politically Exposed Persons who are authorized signers on an account.
- Investment & Credit Services – Securities brokers; mortgage consulting or debt reduction services; credit counseling or debt repair, real estate opportunities; lending instruments, crowdfunding, unless explicitly approved by S/P and regulated/authorized by relevant authority.
- Money Service Businesses (check cashing facilities, money transmitters, currency exchange houses, issuer / seller / redeemer of stored value cards, money orders, traveler’s checks,bitcoin/crypto/virtual currency, etc.)
- Multi-level marketing, pyramid schemes, unreasonably high reward schemes, referral marketing.
- Used Car dealers.
- Using the S/P account as an escrow or safeguarding account
